Project finance with emphasis on PPP projects, capital markets, banking and corporate law including: - Participation in the feasibility study for the key Ministry of Transportation $US 6.4 billion PPP/PFI toll road project. This included structuring of the deal with the use of multiple SPV, credit, budget, financial law, shareholders issues etc; - Drafting legal opinions and advises regarding facility, pledge and repo agreements for different banks and international financial organizations; - Investment and corporate law, shareholders issues, including $US1.5 billion acquisition of Russian industrial group by European investor; regulatory issues. Corporate, investment and tax law including: - Work on amendments to Russian securities and floating laws and regulations, tax, corporate, antimonopoly laws for Russian Venture Capital Association and working on report for Russian Senate on legal framework for PE&VC and capital market development in Russia; - Due diligence of Russian enterprises on the request of international Clients; - Regulatory issues, drafting corporate documents, establishing Russian subsidiaries of international clients.
